I have a 4S, and not eligible for upgrade. So, if I were to purchase a iPhone 5 at full price, does that mean that my 4S is out of contract and ATT can unlock it? I've been unable to find an answer online, so any input is appreciated.

It would only be out of contract if you have paid the early termination fee or if 24 months have elapsed. If you're purchasing a 5 at full price, you should be able to get it unlocked.
 
Thanks, I'll give it a shot :) this way I can sell the 4S at quite reasonable price. Note, if you have a foreign friend in the US, ask him if he knows anyone that wants an iPhone overseas or wherever, they pay top $, since the brand new phones cost over a $1000.
