How can I restore this iPhone?

So my aunt works at rite aid, and some dude left his phone there a couple months ago, they tried contacting him, but no one showed up to receive the phone. It is on iOS 3.1.2, how do I go about restoring to factory settings and upgrading to 4.3? P.s. the phone has a passcode on it.
