How should I prepare?

I am upgrading from iphone 3 yes you heard it right. Had waited a long time for the upgrade, anyways, When i do get the new phone how will I transfer contacts and pictures etc from the old phone to the new.

This is exactly the idea of iCloud.

But anyway, do you have all the stuff from your iPhone 3G on your computer? If so, you just need to sync.

iTunes. Just back up your 3 and then when you activate the 4S you can restore from that backup.

He has nothing "in" the cloud so you cant restore from it.

Just backup 3g in iTunes then do a restore from backup on the 4s. Pretty straight forward.

So there will already be a simcard in the new phone and I don't have to take out and put old sim in new one?

If you ordered it from Apple, no, it will not come with a sim card inside. Also, if you are coming from iPhone 3G, that sim will not work in your new iPhone 4S. The iPhone 4S uses a micro sim so you will either need to cut down your old one or get your service provider to ship you a replacement.
