I don't understand...

    AT&T says on my account "As a valued customer, we can offer you an upgrade with a new 2-yr commitment and an $18 upgrade fee." does this mean I only pay $18?

    No, it means you pay $18 in addition to the cost of the subsidized phone with a new 2-year contract.

    like the previous poster said 18$ + 199 or 299...if u call later u can usually get that 18$ waved if u are an older/premium customer...
