iOS 4.3.2 Update Question

Ive attempted to search this with little or no response.. (maybe not proper searches...) but here is my deal..
Ive had my ipad2 for 1 week... never had any issues syncing and or updating apps... I connected it today, and I see there is an update to iOS 4.3.2.. which is fine.. If I try to apply the update, it tells me that my ipad has apps that are not in my itunes library.. So i've manually synced the ipad to my itunes (numerous times at that).. And i continue to get the same "error"...
Anyone else have this problem or any suggestions on what to do?
