You have 30 days to return your unopened device as long as you have the original receipt used to purchase it.

You can get money back (if cash, if it was paid for using a CC/debit that person with the card will need to be there) or you can exchange it for an Apple Gift Card, towards another purchase, etc.

i didnt pay for it it was a gift and she lives out of state .. i am getting it tomorrow or wednesday so will they give me a gift card for the iphone or let me exchange it online it just says refund

You need the original purchase receipt otherwise it will not happen, no return or cash back/credit.

i think it comes with a receipt or gift receipt ... she bought it on sunday for me and had apple ship it to me but she got me a 4 and i wanted the 4s which i got with an upgrade so i wanted to exchange her gift she got me for an ipad or something and when i spoke to apple online chat they said only refund but im hoping in the store they will give me store credit for the gift since i didnt pay for it

As long as you have some form of receipt to prove the original purchase (regardless of who originally bought it) you can get a refund/credit.

Return the one you bought! Why would you return your friend's gift? Especially if, as you suggest, it was an "I'm sorry" gift...

You bought a phone, you haven't opened it. So return it. End of problem.

because a) it was the 4 and i have the 4s and b) i could get more for her return i know thats bad to say but the value is just to high

Just bring that gift (iphone 4) exchange to 4S and pay whatever additional cost for this upgrade. Return yours and now you have some cash in your pocket instead of holding on some Apple store credits.
