iPod touch Is there a reason not to upgrade to the latest os?

I have an ipod touch 2nd gen. I am wondering if there is a reason not to upgrade to the newest OS and all the software fixes. Right now it is 4.2.1 (8c148)
I don't know if it is JB or not, I am not sure how to tell (bought it used). Any help is appreciated.

Since it's a 2nd gen it can't upgrade past 4.2.1. Sorry.

It seems that 2rd gen can not update to ios 5, so you just update free.

Jailbreak it!! Greenpoison was good for me on 4.2.1.
