MB to MBP upgrade worth it?

Just looking for a little advice. I have an opportunity to trade my 2008 Macbook for an early 2011 MBP. The specs are listed below. He wants 300 on top of the trade.

Mine:
2.4ghz core2duo
250gig HD
4gig RAM
intel 9400m

His:
2.3ghz Dual core i5
320gig HD
4gig RAM
Intel HD3000m
Covered under Applecare until August


Is this a good trade on my end?

The MBP is definitely faster and if it is worth 300 USD + MB, is up to you and your computational needs.
