where is it? and how do i change it? thanx...
(am customizing my phone today, instead of doing my real work...)

oops, will not 'bump' again. am trying to change the background wall behind the icons IN the multitasking popup window, ie the textured window at the bottom of this pic...

no sure really what you are saying but I think you are looking for No Dock. Though I could be totally wrong.
 
OP, you can do this with Winterboard. If you have an iPhone 4 make sure you use images that are the proper size and name them with Filename@2x.png. @2x.png tells iOS4 to use those images for the iPhone 4's retina display.

You are talking about the task switcher. I believe the images are located in /System/Library/CoreServices/Springboard.app and are called FolderSwitcherBG.png and FolderSwitcherBG@2x.png.
