i have a contract sim (orange sim) for my 3gs from UK.. so when building the custom ipsw on pwnage i had unchecked "activate iphone"..
now i am trying to upgrade my friend's iphone from US. this one is on 3.1.3
when i create the custom ipsw if i check "activate iphone" will it activate the phone for sure since i dont hav an at&t sim to activate it.

You can even use the Orange sim card (I believe) to activate your friend's iPhone.
 
Your friends phone thats locked to AT&T will need an at&t sim to activate officially, the orange sim wont do it. So mind as well hactivate it if you cant find an AT&T sim.
