So when I sell my 32gb 3GS is all what I need to do is do a restore on the phone and take my sim card out and i'm good to go?

Also you guys have any suggestions on the best place to sell/trade in besides ebay or craigslist? I would sell on ebay but after the ebay fees and paypal fees i'd just rather sell/trade it the easiest way possible.

Personally I would do a secure wipe before selling, just to make sure none of those deleted data would be recoverable. I think there's an app called SecureWipe that I want to try.

1) 3Gs sim card wont fit in iPhone 4S... unless you will cut it.
2) update you 3gs to iOS 5 and back it up to it... when you will get your new phone you should be able to retrieve all your information from the cloud.
3) Craigslist is the best place to sell your phone... no fees and cash.
4) dont forget to do secure wipe, before selling it... it takes up to one hour.
