thinking about replacing my HD but, am having trouble understanding what drives are appropriate or will work. I have a MBP 17", 2.33ghz, 3gb ram... am pretty sure this drive is more than acceptable but just trying to double check.

..also what exactly does it mean when the HD says 16MB cache or 32 MB cache, I am confused on the definitions I have been reading.

That will work, but allow me to let you in on a cheaper drive with the same specs. A seagate 320gb 16mb cache @ 7200 RPM's is 79.99 on newegg as well.
