A couple of extra points about this.

Firstly, a real benefit of restoring is that your App data mostly gets retained. It's nice to see high scores and other data still there. My Safari tabs were even still open.

I gather from some comments here that some have restored from a Cloud backup. Unless you don't have much on your iPad I wouldn't recommend this because of data speeds and possible limits. Backup your old iPad in iTunes and then just plug your new one in and restore. Easy job.
 
Just uncheck the box to sync with your computer

i had it where it synced over the cloud, which is what i prefer. but i didn't want to have to put all the music back on the new ipad via cloud. i wanted to do it via itunes, but it would not let me. and once i tried to adjust the settings, it bogged down.

i did get it worked out, though. i just started from scratch and chose all the music manually. then i set it up to sync via cloud again.
