Should I upgrade from 3.1.3 to 4.0.1?

I have a 3G, I am currently on 3.1.3, JB, and working fine. But I like the native subfolder options on 4.0 better than having to use Catagories on 3.1.3.

Can anyone give me pros/cons to making the upgrade?
