So I sold my Apple Watch without unpairing it. I just received my new ultra 2 today. Obviously my phone does not want to pair with this. Is there any solution?
 
You can go to Find My and remove it so the buyer will be able to pair it to his account. Go into the Watch app and tap on All Watches at the top where you will be able to remove the old watch by tapping on the (i) to unpair it (worth a shot to see if it will work). If not, you can just pair the new one using "Add Watch"

Ah you can have up to 8 watches paired. However in your case did you erase your old watch and remove it from Find in iCloud?

Here are the steps to unpair and erase your Apple Watch even if it isn't with you:
  1. Open the Find My app on your iPhone, iPad, or Mac. ...
  2. Tap Devices.
  3. Tap your Apple Watch name.
  4. From the bottom, tap Erase This Device.
  5. Remove the device from Find

Your phone should absolutely pair with a new watch without unpairing an old one.

That said, the owner of your old watch will be the one to have issues. You'll have to unpair and remove it from your Find My items before he/she will be able to reset it and use it.
 
Tap on “All Watches” in the top left corner then click “Add Watch.”

Properly removing the old one through iCloud would be better for all involved, of course.

You can pair up to 5 watches to your iPhone.
The person who got your watch should be contacting you shortly though as they cannot set it up
