Upgrade to 3GS through a friend?? Sell mine to him?

I have a close friend that wants to buy an Iphone but doesn't want to pay $300 for it. I would like the new 3GS (who doesn't)?
We were thinking that I could sell him my 16GB 3G for $75 and he would sign up for a new contract and get the 32GB GS. I'd then pay him the difference and get the new phone.
We'd then need to switch the phone numbers so I could still use my same cell number.
What would be the best way to go about this?
I'd REALLY appreciate the advice from you quick thinkers out there!

FWIW, I think you should GIVE your 3G to your friend if he does this for you.

It should be pretty simple. Let him buy the 3GS and then they do the activation for him. You must then both backup your phones in itunes. Pop the SIM cards out, switch them, and then restore from itunes. That should be it, unless for some odd reason the 3G SIM won't work in the 3GS.

Good suggestion! I think I WILL give it to him.
I hope the SIM Card thing works! If for some strange reason it doesn't is there another way?
