So I have a 5 and an upgrade on two lines. I'm thinking about purchasing a 5s on one line and selling it (using an upgrade to get the subsidized price), than using the other upgrade for the 6 when it comes out.

I remember when I purchased my 5, it came locked, and I had to enter part of my social security number (I think) when I got it. Is ATT still doing this? Will I have to open the seal, activate the phone on my line, than deactivate it, before I sell it?

I believe it has to do with the SIM card that's placed in the phone. The SSN part is just so it can be added to your line and/or replace a phone. New owner can always put a new SIM card in the phone, especially if the SIM card is already attached to their account and can fit inside.

This is all guessing, I sort of did something similar a few years ago - purchased an iPhone from my upgrade and gave it to a friend. All that was done was a SIM card switch and it worked. I don't know if this is still the case.
