Does iPad 1 sim card work in Off Contract iPhone 4S

I have a 3G iPad 1 with an activated AT&T sim card.

I am considering strongly an iPod touch or an off-contract AT&T iPhone 4S.

I want to know if the activated AT&T sim can be placed in the unlocked/off contract AT&T iPhone for data only 3G access.

Yep. It should also work in a "locked" AT&T iPhone too.
You'll have to change some APN settings, I think though.

All of these threads seem to assume a phone that is on-contract, not unlocked.

I want to know how this applies to an off-contract, already unlocked iPhone4S
