Will it restore the old version of the software on the new phone? My 3g does not have iOS4.

No, of course not. A backup has nothing to do with the OS. The restore is what installs the OS. So, a restore from a backup means it installs iOS4 and then installs the backup from your 3G.
 
It didn't work. I tried to sync the purchased apps from my old 3gs to the 4 and it went through the process, syncing, took about 10 minutes, but when it finished there were no new apps on my i4.

Make sure you activate the iTunes account again (deactivate and then activate).

sorry, dumb q - you mean turn it on and off? I had to, it all shut down and restarted the computer... this time I am only trying to move over a few apps.

update: this time it went through. I moved over just a few apps and for some reason the old windows computer was happier with that.
