Ok, here's the fix that worked for me.

In terminal, type:
'sudo nano /private/etc/hosts'

then change line "XXX.XXX.XXX.XXX gs.apple.com"

to "# XXX.XXX.XXX.XXX gs.apple.com"

then,

'ctrl+x' then 'y' to save and exit

then try update and it should work
 
I was having same error as original poster but after I downloaded the latest itunes it worked first try. (i was running the beta of 10.1.0.5) Now i'm at 10.1.0.6

Oddly, my since my ipad was running the first 4.2. it mentioned nothing about upgrading to 4.2.1 or upgrading itunes. However when i tried my iphone, it did say that I needed to update Itunes.

Also i made sure my hosts file had no apple references in it.

I mention all this for whats it worth, maybe it was just busy and it happened to work first time after i upgraded itunes.
 
Restoring

I've had enough. I unchecked the Automatic synching in iTunes Preference and I am restoring to factory settings then I'll try restoring the most recent backup. I'll let you know if that solved the problem.
BTW I shoul add I alson got rid of the iPad update file in the Library.
 
deleting the ipsw file and re-downloading worked for me! thanks again for that suggestion!
 
Re-downloading update

Just for the sake of it (while waiting for iTunes to restore my most recent backup after restoring to Factory settings). How did you re-download the firmaware? I tried through iTunes after deleting the ipsw file but iTunes was telling me I already had 4.2.1 (even though it hadn't been fully installed...)
 
Back to square 1...

Great! I restored to Factory settings then started restoring the most recent backup. Duhh! That backup was done after the 1st install crash. I'm back to square 1.
So back to Factory settings then I'll reinstall everything from scratch, re-arrange the apps... A terrible mess that update. Shame on you Apple!

Is your iPad in recovery mode? Use a program to kick it out of recovery or use the power and home button. Once you do that, your screen will go back to normal.

yup its in recovery mode and i thought i could restore from a backup but i guess not when i control click my ipad it do sent give the option

Sorry I didn't get the last part of your sentence, when you control click the iPad does what?

If you don't know how to kick the iPad out of recovery, google search, kick iPad out if recovering mode and find a free program that will do it.

sorry im frustrated and hungry...what I was trying to say is that my iPad wont let me use a back up to recover. When i use control and then click the iPad icon it should stay restore from back up but it doesn't. I'll research that now kick out thing now!

Hi,

Just kick it out of recovery mode using a program and it will go back to normal. The iPad will turn on normally and will be recognized by iTunes normally as well. Make sure that iTunes is turned on when you use that program to kick it out of recovery and that your iPad has that screen with the iTunes logo and USB.

OK. THIS is weird but it works.

Go to Apple.com download iTunes again. Re-install it.

connect your iPad again.

Follow instructions.

Congrats! You updated your iPad with iOS 4.2.1
